1. General

2. Employee Conduct
SPEDITION expects employees to maintain professional behaviour that reflects the values of integrity, respect, and responsibility.
Employees must not engage in behaviour that undermines workplace safety, dignity, or professionalism.
This includes harassment, discrimination, violence, abusive language, or any conduct that negatively affects others or the reputation of the company.
Sexual harassment in any form is strictly prohibited and will not be tolerated.
Employees must also comply with workplace safety requirements and conduct themselves in a manner consistent with Saudi cultural and legal expectations.
3. Conflicts of Interest
Employees must avoid any situation where personal interests could conflict, or appear to conflict, with their duties to SPEDITION.
Employees must not use their position, company information, or influence for personal gain or to benefit family, friends, or external organisations.
Any actual or potential conflict of interest must be declared immediately to management for assessment and appropriate action.
Transparency in managing conflicts of interest is a key principle of good governance.
4. Relationships with Clients and Suppliers
Employees must ensure that all business relationships are conducted fairly, transparently, and without undue influence.
Employees must not accept or offer any arrangement that could compromise impartial decision-making.
All supplier and customer relationships must be based on merit, fairness, and business need, in line with responsible procurement practices encouraged under Vision 2030.
5. Gifts, Entertainment, and Favours
Employees must not request, accept, or offer gifts, hospitality, or any form of benefit that could influence, or appear to influence, business decisions.
Modest hospitality may be accepted only where it is reasonable, transparent, and does not create any obligation or expectation.
Any gift or benefit that could be considered inappropriate must be disclosed to management.
6. Kickbacks and Secret Commissions
SPEDITION strictly prohibits kickbacks, secret commissions, or any undisclosed financial or non-financial benefits.
Employees must not accept any form of payment or benefit outside of approved company compensation structures.
Any breach of this policy is considered serious misconduct and may result in disciplinary action, termination of employment, and reporting to relevant Saudi authorities, including anti-corruption bodies where required.
7. Fair Competition
SPEDITION is committed to fair, open, and lawful competition in accordance with applicable Saudi competition laws.
Employees must not engage in anti-competitive practices such as price fixing, market allocation, collusion, or improper exchange of sensitive commercial information.
SPEDITION makes independent business decisions based on legitimate commercial considerations and market fairness.

SPEDITION provides employees with accessible and confidential channels to raise concerns, complaints, or grievances.
Employees may report concerns without fear of retaliation or negative consequences.
Reports will be handled fairly, confidentially where possible, and in accordance with internal procedures.

9. Company Funds and Assets
Employees responsible for company funds or assets must ensure proper handling, accuracy, and security at all times.
Fraud, theft, misuse, or misappropriation of company resources is strictly prohibited.
Any suspected misconduct must be reported immediately to management for investigation and appropriate action.
10. Financial Records and Communication

11. Dealing with External Organisations
a. Government Authorities, Customers, and Suppliers
Employees must engage with all government authorities, regulatory bodies, customers, and suppliers in an honest, respectful, and transparent manner.
All communications must be accurate, timely, and compliant with applicable laws and instructions.
Employees must fully cooperate with lawful requests from authorities.
b. External Conduct and Reputation Protection
Employees must act in a professional manner at all times when representing SPEDITION.
Employees must avoid any conduct that could harm the reputation, credibility, or integrity of the company or the Kingdom’s business environment.
Maintaining ethical conduct and protecting organisational reputation is essential to supporting Saudi Vision 2030 objectives for a trusted and transparent business ecosystem.
